The Management Capital Holding board team is characterised by long and extensive experience in entrepreneurial and operational management functions. The individual partners of Management Capital Holding bring relevant operational experience as board members, managing directors and interim managers of medium-sized family businesses and industrial groups from various sectors as well as partners of investment companies.

Michael Hengstmann is a founding partner and board member of Management Capital Holding AG.

He is also Partner and Managing Director of Executive Interim Partners, a leading German company of interim managers for special situations and restructurings.

Mr. Hengstmann was previously Partner and Managing Director at AlixPartners, the leading international restructuring expert, and supported various companies in restructuring situations as an interim manager and consultant.

Prior to that, he was Partner and Managing Director at One Equity Partners, the former private equity fund of JP Morgan.

Mr. Hengstmann started his professional career in his family’s own medium-sized company before he worked as a project manager at Arthur Andersen and later as a partner and managing director at LEK Consulting, supporting medium-sized companies, international groups and private equity companies in M&A transactions on the buyer and seller side and as a consultant and interim manager.

Mr. Hengstmann has been active as an interim manager at various medium-sized companies and subsidiaries of groups at home and abroad and has successfully implemented restructurings, turnarounds, strategic realignments and sales offensives as Chief Restructuring Officer, Chief Executive Officer/ Chairman of the Management Board or Chief Operating Officer.

In addition, Mr Hengstmann advises and supports various companies as a member or chairman of the advisory board.

He graduated with a Master of Science in Management from the Hult International Business School in Cambridge/USA with distinction and studied business administration at the University of Duisburg.

Christof Wahl is a founding partner and board member of Management Capital Holding AG.

He is also Chairman of the Advisory Board and Partner of Executive Interim Partners GmbH, a leading German company of interim managers for special situations and restructuring.

Previously, as a member of the Executive Board at ProSiebenSat.1 Medien SE, he was responsible for the “Digital Entertainment” division and served as the Group’s Chief Operating Officer.

As spokesman for the management board of Germany’s largest cable operator Kabeldeutschland from 2003 to 2007, he geared the business towards sustainable profitable growth and was involved in the company’s management buy-out and numerous acquisitions.

During his 13 years at Siemens AG, he held several operational leadership roles in Germany, USA, Thailand and Finland. He restructured the global telecommunication business for carriers after the industrial crisis in 2001 and ensured the profitable restructuring of the telecommunication business in Indochina after the Asian crisis in 1998. In his career, he has been involved in a number of company acquisitions, company integrations and company sales and acted as a board member in numerous companies.

Mr Wahl graduated with honours in engineering from the Technical University of Munich and holds a degree in business administration from the University of Hagen.

Mr Wahl is currently Chief Digital Officer at Upfield, a KKR investment, for Executive Interim Partners.

Supervisory Board

The Management Board members of Management Capital Holding are actively supported in their work by a Supervisory Board. The supervisory board has an advisory function and consists of experienced entrepreneurs from business and medium-sized companies. The members of the supervisory board advise the partners of Management Capital Holding in all investment phases, from approaching and evaluating potential acquisition candidates and investment opportunities to providing support in generating value and disposing of the investments.

Dr. Matthias Heisse is Chairman of the Supervisory Board of Management Capital Holding AG.

Furthermore, Dr Matthias Heisse is a founding partner of Eversheds Sutherland in Germany. In addition to leading the firm’s global industry sector, he is the international co-head of Eversheds Sutherland’s cross-border M&A team.

He has more than 27 years of experience in corporate and capital markets law as well as mergers & acquisitions. He also advises on restructurings, having advised on various national and international restructurings, financings and reorganisations in recent years. His regular clients include major international corporations, listed companies as well as financial investors and banks, whom he advises on all matters of corporate law, in particular on the preparation and conduct of general meetings. Matthias Heisse also serves as a member of several advisory and supervisory boards and is an arbitrator in capital markets and corporate law disputes.

Ralph Heuwing is a member of the Supervisory Board of Management Capital Holding AG.

As a partner, he manages the DACH business of the European private equity company PAI Partners, which manages assets totalling € 13.9 billion.

Previously, as CFO and member of the Executive Board of Knorr-Bremse AG, Mr Heuwing was responsible for its IPO. Knorr-Bremse is the world’s leading manufacturer of braking systems and other safety-critical systems for rail and commercial vehicles.

In the ten years prior to that, Mr. Heuwing served as CFO of Dürr AG, the world market leader in paint finishing systems and other automation technology for the automotive industry.

Mr. Heuwing also served as a partner and managing director of the leading management consulting firm The Boston Consulting Group (BCG). In his 17-year career, he advised leading European financial institutions and industrial goods groups on strategic and organisational issues and major transformation programmes. In the 1990s, he established BCG’s Indian office. Mr Heuwing was a member of BCG’s leadership team for Germany, Austria and Greece.

Mr Heuwing holds a degree in Mechanical Engineering from RWTH Aachen University and a Master of Business Admininstration from INSEAD, Fontainebleau.

Ullrich Weirauch is a member of the supervisory board of Management Capital Holding AG.

He is also Managing Director and Partner of Executive Interim Partners.

Mr Weirauch was previously Vice President Purchasing at Braas Monier Building Group, a globally active manufacturer of building materials for pitched roofs. During this time, he reorganised the group’s purchasing function and was successfully responsible for the purchasing savings contributions of two restructuring programmes.

Previously, as Chief Procurement Officer (CPO), he led the purchasing function of Mannesmann Plastics Machinery, a global manufacturer of plastic injection moulding and extrusion machinery. There he reorganised purchasing in the group and was responsible for the purchasing savings of the Performance Improvement Programme.

He began his career at Bain & Company and AlixPartners, where he gained experience as a consultant in addition to strategic issues, particularly implementing and leading performance improvement programmes in complex international organisations.

Mr Weirauch earned his Master of Business Administration from INSEAD in Fontainebleau. Previously, he studied industrial engineering at the Karlsruhe Institute of Technology (KIT) and earned his Maitrise de Sciences Economiques at the University of Aix-Marseille.

Office Management

Alexandra Hähnel is responsible for the commercial activities of Management Capital Holding.

She is a certified accountant (IHK). Previously, she worked for several years at the auditing firms PriceWaterhouse Coopers and Ebner Stolz.

Ms Hähnel studied business administration at the University of Leipzig and holds a degree in business administration.
